Acceptance of Terms

By accessing or using CARA, the clinical quality assurance platform operated by ProVerity, Inc. ("ProVerity," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using CARA on behalf of an EMS agency or other organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not access or use CARA. Your continued use of the service after any updates to these Terms constitutes acceptance of the revised Terms.

Description of the Service

CARA is a NEMSIS 3.5-native EMS quality assurance and analytics platform. It evaluates Patient Care Reports against clinical protocols, state rules, and agency-defined criteria, producing scored QA reports, trend analytics, and protocol compliance insights for EMS medical directors and quality improvement coordinators.

The specific features, modules, and data storage entitlements available to your organization are defined in your Order Form. ProVerity reserves the right to modify, enhance, or discontinue features of the service with reasonable notice, provided that material reductions in core functionality are communicated at least 30 days in advance.

Accounts and Authentication

Access to CARA is provisioned at the organization level. Your designated administrator is responsible for managing user accounts, assigning roles, and ensuring that only authorized personnel have access. You are responsible for maintaining the confidentiality of credentials and for all activity that occurs under your organization's account.

You must notify ProVerity immediately at support@proverity.com if you suspect unauthorized access to your account. ProVerity is not liable for losses resulting from unauthorized use of credentials that you failed to secure.

Acceptable Use

You may use CARA only for lawful purposes and in accordance with these Terms. You agree not to: access the service in a way that could damage, disable, or impair its infrastructure; attempt to gain unauthorized access to any part of the system; use automated tools to scrape or extract data in bulk without written authorization; or use CARA to process data for any organization other than your own without a separate agreement.

Clinical QA outputs from CARA are intended to support — not replace — the professional judgment of licensed EMS medical directors and quality improvement staff. ProVerity does not provide medical advice.

Customer Data and PHI

You retain all ownership of the data you submit to CARA, including Patient Care Reports and any associated protected health information ("PHI"). ProVerity processes this data as a Business Associate under HIPAA on your behalf.

BAA requirement: Use of CARA for processing PHI requires a signed Business Associate Agreement between your organization and ProVerity. Your Order Form will reference or include the applicable BAA. Do not submit PHI to CARA until a BAA is in place.

ProVerity will not use your customer data for any purpose other than providing and improving the service as described in the BAA, and will not sell or share identifiable patient data with any third party.

Service Availability

ProVerity makes commercially reasonable efforts to keep CARA available and performant. Uptime targets, planned maintenance windows, incident response times, and any financial remedies for downtime are specified in your Order Form. Where no SLA is specified, ProVerity targets 99.5% monthly uptime excluding scheduled maintenance.

ProVerity is not liable for downtime caused by factors outside its reasonable control, including internet outages, third-party infrastructure failures, or force majeure events.

Intellectual Property

CARA and all underlying software, protocol evaluation logic, UI, and documentation are the intellectual property of ProVerity, Inc. These Terms do not grant you any ownership rights in CARA — only a limited, non-exclusive, non-transferable right to use the service during your subscription term in accordance with your Order Form.

Your organization retains all rights to your customer data and any reports generated from that data. ProVerity may use anonymized, aggregated benchmarking data derived from the platform to improve the service and publish industry insights, provided no individual patient or agency is identifiable.

Limitation of Liability

To the maximum extent permitted by applicable law, ProVerity's total liability to you for any claim arising out of or related to these Terms or the service is limited to the fees paid by your organization in the 12 months preceding the claim. ProVerity is not liable for indirect, incidental, consequential, or punitive damages, even if advised of the possibility of such damages.

Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law.

Termination

Either party may terminate the service relationship by providing written notice as specified in your Order Form. ProVerity may suspend or terminate access immediately if you materially breach these Terms and fail to cure the breach within 10 days of written notice, or if continued service would violate applicable law.

Upon termination, ProVerity will make your customer data available for export for 30 days, after which it will be securely deleted in accordance with the BAA and applicable data retention requirements.

Changes to These Terms

ProVerity may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in CARA at least 30 days before the changes take effect. Your continued use of the service after the effective date of updated Terms constitutes acceptance. If you do not agree to the changes, you must stop using CARA before the effective date.
